Terms of Service
Effective and last updated: October 31, 2026
These Terms of Service (“Terms”) are an agreement between you and BIDrivenSME (“BIDrivenSME”, “we”, “us”, or “our”) and govern your use of our website at www.bidrivensme.com and the BIDrivenSME application (together, the “Service”). Please read them carefully, including sections 14 and 15, which limit our liability.
1. Accepting these Terms
By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you confirm that you have authority to bind that business, and “you” includes that business. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. The Service is intended for business use.
3. The Service
BIDrivenSME provides private workspaces for recording and analysing sales, expenses, inventory, and invoices, with reports, alerts, and team access. Connections shown as “Coming soon”, including payment-provider, bank, point-of-sale, and accounting connections, are not part of the Service until we make them available.
4. Your account
You must give accurate information and keep it up to date. You are responsible for keeping your sign-in details secure and for activity under your account. Tell us promptly at bi.driven.sme.support@gmail.com if you believe your account has been accessed without permission.
5. Workspaces and team members
The person who creates a workspace is its owner. Owners decide who may access the workspace and are responsible for the activity of the people they invite. Team members use the workspace on the owner’s behalf, and access ends when the owner removes them.
6. Your data
You keep all rights in the information you enter or upload (“Your Data”). You give us a limited, worldwide licence to host, copy, process, and display Your Data only as needed to provide, secure, and support the Service. We do not claim ownership of Your Data and do not sell it.
You are responsible for the accuracy and legality of Your Data. You confirm that you have the right to use it in the Service and that you handle any personal information about your customers, suppliers, and staff in line with applicable data protection law, including giving any required notices. Please keep your own copies of important records.
7. Privacy
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
8. Acceptable use
You must use the Service only for lawful business purposes. You must not:
- access or try to access another business’s workspace or data;
- break, test, or bypass security or access controls without our written permission;
- upload malware or anything that is unlawful, harmful, or infringes someone else’s rights;
- interfere with the Service or place an unreasonable load on it, including through automated scraping;
- copy, resell, or reverse-engineer the Service, except where the law allows this; or
- use the Service for fraud, money laundering, tax evasion, or to mislead others.
9. Fees
The Service is currently offered without charge. If we introduce paid plans, we will give you clear notice of the prices and terms in advance, and you will not be charged unless you choose a paid plan.
10. Reports and insights are not professional advice
The Service provides calculations, reports, alerts, and suggestions based on the information available to it. Results may be incomplete or inaccurate, especially where the underlying data is. They support your decisions but are not accounting, tax, legal, investment, or financial advice. You are responsible for checking important information and for your business decisions, and should consult a qualified professional where appropriate.
11. Our intellectual property
We and our licensors own the Service, including its software, design, and branding. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback or suggestions, we may use them without obligation to you.
12. Availability and changes to the Service
We work to keep the Service available and secure, but it may sometimes be unavailable for maintenance, upgrades, or reasons outside our control. We may change, add, or remove features as the Service develops. If a change significantly reduces what you can do, we will try to give you reasonable notice.
13. Suspension and ending your use
You may stop using the Service at any time. Workspace owners can export their sales, inventory, expense, and invoice records from Reports, and can ask us to close their account by emailing bi.driven.sme.support@gmail.com.
We may suspend or end your access if you seriously or repeatedly breach these Terms, if required by law, or if needed to protect users or the Service. Where reasonable, we will give you notice and a chance to fix the issue or export Your Data. After an account ends, we handle Your Data as described in our Privacy Policy. Sections that by their nature should continue, including sections 6, 11, 14, 15, 16, and 17, survive the end of these Terms.
14. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We do not promise that it will be uninterrupted, error-free, or suitable for a particular purpose, or that its results will be accurate, and we disclaim all implied warranties. Nothing in these Terms removes rights that the law does not allow to be excluded.
15. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim arose and US$100.
Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot legally be limited.
16. Indemnity
You agree to compensate us for reasonable losses and costs arising from third-party claims caused by Your Data, your unlawful use of the Service, or your breach of these Terms, except to the extent we caused the loss.
17. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, please contact us first so we can try to resolve it in good faith. If it is not resolved within 30 days, the courts of Nigeria will have jurisdiction, unless mandatory law where you live gives you a right to bring the claim elsewhere.
18. Changes to these Terms
We may update these Terms as the Service or the law changes. We will change the date at the top of this page and, for material changes, give notice by email or in the Service before they take effect. If you continue using the Service after that, you accept the updated Terms. If you do not agree, you should stop using the Service.
19. General
These Terms and our Privacy Policy are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest continues to apply. If we do not enforce a right, we have not waived it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, sale, or reorganisation. Neither party is responsible for delays caused by events beyond its reasonable control.
